Terms of Service

1Eligibility

You must be at least 13 years old (16 if you live in the European Economic Area, or the minimum age required where you live) to use the Services. If you are under 18, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. Where an app carries a higher age rating in the app store, that higher age applies.

2Your account

Some apps let you create an account. You agree to provide accurate information, keep your credentials confidential and tell us promptly about any unauthorised use. You are responsible for activity under your account. You can delete your account at any time from the app's settings, as described in our Privacy Policy.

3Licence to use the Services

Subject to these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable licence to install and use our apps on devices you own or control, for your personal, non-commercial use, in accordance with the usage rules of the app store from which you obtained the app. You may not:

• copy, modify, distribute, sell, rent, sublicense or create derivative works of the Services;
• reverse engineer, decompile or attempt to extract source code, models, prompts or model weights, except where the law expressly permits;
• circumvent security measures, usage limits, content safeguards or access controls;
• use scrapers, bots or other automated means to access the Services, or use the Services or their output to build a competing product or to train a machine-learning model;
• remove proprietary notices or misrepresent the source of any content.

4Acceptable use

You agree not to use the Services to:

• violate any law or the rights of others;
• generate, upload or share content that is illegal, that sexually exploits or endangers minors, that promotes violence or terrorism, or that harasses, defames or discriminates against any person or group;
• create or spread malware, spam, fraud, phishing or disinformation;
• impersonate any person or organisation, or present AI-generated content as human-made where that would mislead or is prohibited by law;
• process other people's personal data without a lawful basis;
• interfere with the operation, integrity or security of the Services.

We may investigate suspected violations and may suspend or terminate access without notice where we reasonably believe these Terms have been breached.

5AI features

5.1 Nature of outputs

Our apps use machine-learning models to generate text, images, audio, code and other content ("Output") from the inputs you provide ("Input"). Output is generated automatically and may be inaccurate, incomplete, biased, offensive, or similar or identical to output provided to other users. Output is not professional advice. You are responsible for evaluating Output before relying on, publishing or acting on it, and you must not use it for decisions with legal, medical, financial or safety consequences without independent verification.

5.2 Your Input and Output

You retain any rights you hold in your Input. As between you and OmniNode, and to the extent permitted by law, we assign to you our rights, if any, in Output generated for you. You may use Output for any lawful purpose, subject to these Terms. You are responsible for ensuring that your Input and your use of Output do not infringe the rights of any third party.

5.3 Licence to us

You grant OmniNode a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit and display your Input and Output as needed to provide, secure and improve the Services. We will not use your content to train models unless you opt in, as described in our Privacy Policy.

5.4 Third-party models and limits

Some features are delivered through third-party model providers disclosed in the app; their usage policies apply in addition to ours. We may set limits on usage (such as requests, tokens or generations), and may change, replace or retire models and features at any time.

6Purchases, subscriptions and free trials

• Where you buy. Paid features are sold through the Apple App Store or Google Play (each an "App Store"). Payment, taxes, currency conversion and refunds are handled by the App Store under its terms. We do not receive or store your payment details.
• Auto-renewal. Subscriptions renew automatically for the same period at the price shown at purchase (plus applicable taxes) unless you cancel at least 24 hours before the end of the current period. Payment is charged to your App Store account at confirmation of purchase and at each renewal.
• Cancelling. Manage or cancel subscriptions in your App Store account settings (iOS: Settings → your name → Subscriptions; Android: Google Play → Payments & subscriptions). Deleting the app does not cancel a subscription. Cancellation takes effect at the end of the current period; there are no partial-period refunds except where the law requires them.
• Free trials. If a free trial is offered, it converts to a paid subscription unless you cancel before it ends. Any unused portion of a free trial is forfeited when you purchase a subscription.
• Price changes. We may change prices with notice as required by the App Store. Changes take effect at the next renewal after notice, and you may cancel before then.
• Refunds. Refund requests must be made to the App Store; we cannot issue refunds for purchases made through Apple or Google.
• Credits and allowances. Any credits, tokens or generation allowances have no cash value, are non-transferable and expire as stated in the app or when your access ends.

7Intellectual property

The Services, including the apps, software, models, designs, text, graphics, logos and trademarks (including "OmniNode"), are owned by OmniNode Limited or its licensors and protected by Hong Kong and international intellectual-property law. Except for the licence in Section 3, no rights are granted to you. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use them without any obligation to you.

8User content and moderation

If an app lets you publish or share content with other users, you are solely responsible for that content and you represent that you have all rights needed to share it. We may review, filter, remove or refuse content that violates these Terms, using automated systems and human review. If you believe content in our Services infringes your copyright or other rights, email contact@omninodeltd.com with the location of the content, a description of the right infringed, your contact details and a statement of good faith.

9Third-party services

The Services may link to or integrate services operated by others, such as sign-in providers, cloud storage, advertising networks and model providers. Those services are governed by their own terms, and we are not responsible for them.

10Updates and changes to the Services

We may update, modify, suspend or discontinue the Services or any feature at any time, and may require you to install updates to keep using an app. We will try to give reasonable notice of material changes to paid features. If we discontinue a paid feature during a period you have paid for, you may be entitled to a pro-rata refund through the App Store where the law requires it.

11Termination

You may stop using the Services at any time and delete your account. We may suspend or terminate your access if you breach these Terms, if required by law, or if we discontinue the Services. On termination your licence ends. Sections that by their nature should survive (including Sections 5, 7, 12, 13, 14, 18 and 20) will survive.

12Disclaimers

To the fullest extent permitted by law, the Services and all Output are provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation. Nothing in these Terms limits any rights you have as a consumer under mandatory law.

13Limitation of liability

To the fullest extent permitted by law, OmniNode and its directors, employees, agents and licensors are not liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, goodwill or business, arising from or related to the Services or Output, even if advised of the possibility. Our total liability for all claims in any twelve-month period is limited to the greater of (a) the amount you paid to us for the Services in that period and (b) HKD 400. These limits do not apply to liability that cannot be excluded by law, including liability for death or personal injury caused by negligence, or for fraud.

14Indemnity

To the extent permitted by law, you will defend, indemnify and hold harmless OmniNode from any claims, damages, liabilities and expenses (including reasonable legal fees) arising from your Input, your use of Output, your breach of these Terms, or your violation of any law or third-party right.

15Additional terms for the Apple App Store

If you obtained an app from the Apple App Store, the following terms also apply:

1. Acknowledgement. These Terms are concluded between you and OmniNode only, and not with Apple Inc. ("Apple"). OmniNode, not Apple, is solely responsible for the app and its content.
2. Scope of licence. The licence in Section 3 is limited to a non-transferable licence to use the app on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed and used by other accounts associated with you through Family Sharing or volume purchasing.
3. Maintenance and support. OmniNode is solely responsible for providing any maintenance and support services for the app. Apple has no obligation whatsoever to furnish any maintenance or support services with respect to the app.
4. Warranty. OmniNode is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are OmniNode's sole responsibility.
5. Product claims. OmniNode, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your possession or use of it, including (i) product liability claims; (ii) any claim that the app fails to conform to an applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy or similar legislation, including in connection with the app's use of the HealthKit or HomeKit frameworks where applicable.
6. Intellectual property rights. In the event of any third-party claim that the app, or your possession and use of it, infringes that third party's intellectual property rights, OmniNode, not Apple, is solely responsible for the investigation, defence, settlement and discharge of the claim.
7. Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
8. Developer contact. Questions, complaints or claims regarding the app should be directed to OmniNode Limited, Rm R1(10), 16/F, The Cloud, 111 Tung Chau Street, Tai Kok Tsui, Kowloon, Hong Kong, contact@omninodeltd.com.
9. Third-party terms. You must comply with applicable third-party terms of agreement when using the app, for example your wireless data service agreement.
10. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

16Additional terms for Google Play

If you obtained an app from Google Play, the Google Play Terms of Service also apply to your download and use of the app, and refunds for purchases made through Google Play are governed by Google's refund policy.

17Export and sanctions compliance

You may not use the Services if doing so is prohibited by applicable export-control or sanctions laws, including those of Hong Kong, the United States and the European Union, and you agree to comply with all such laws in connection with your use of the Services.

18Governing law and disputes

These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-law rules. Before starting formal proceedings, you agree to try to resolve any dispute informally by contacting us at contact@omninodeltd.com. Any dispute that cannot be resolved informally is subject to the exclusive jurisdiction of the courts of Hong Kong SAR. If you are a consumer in the EEA, the UK or another jurisdiction with mandatory consumer-protection rules, you keep the benefit of those rules and may bring proceedings in the courts of the place where you live.

19Changes to these Terms

We may update these Terms from time to time. We will post the new version here with a new effective date and, for material changes, notify you in the app or by email at least 14 days before they take effect where practicable. Your continued use of the Services after the effective date means you accept the updated Terms. If you do not agree, stop using the Services and cancel any subscription.

20General

• These Terms, together with the Privacy Policy and any app-specific terms shown in an app, are the entire agreement between you and OmniNode about the Services.
• If any provision is held unenforceable, the remaining provisions remain in effect.
• Our failure to enforce a provision is not a waiver of it.
• We may assign these Terms to an affiliate or successor; you may not assign them without our written consent.
• Except as stated in Section 15, there are no third-party beneficiaries of these Terms.
• We are not liable for delay or failure caused by events beyond our reasonable control.
• Where these Terms are translated, the English version prevails in case of conflict.
